1. Agreement
These Terms of Service (“Terms”) are between you and ZipButler Concierge Inc (“ZipButler,” “we,” “us,” or “our”). By accessing ZipButler, purchasing Provider Profile Formation, using a Provider Workspace™, submitting a Provider Profile™, or otherwise using our services, you agree to these Terms.
2. ZipButler and The Butler List™
ZipButler operates a private concierge and provider-network environment. The Butler List™ is a private provider network used by the ZipButler Concierge as a source of providers, specialists, companies, and commercial relationships to consider when client requirements arise.
The Butler List is not a public contractor directory or a marketplace in which providers purchase leads or admission. Inclusion, continued inclusion, recommendation, and use are determined by ZipButler in its discretion based on fit, capabilities, conduct, availability, client requirements, and other relevant factors.
3. Provider Openings™
ZipButler may open specific provider categories for limited formation periods. Opening dates, categories, territories, fees, and other conditions may vary. Purchasing Provider Profile Formation during an opening preserves your formation under the terms displayed at the time of purchase, even if Workspace configuration, profile completion, or review occurs after the opening closes.
ZipButler may change future opening calendars, categories, territories, or participation structures. A closed opening does not create a right to participate in a future opening.
4. Provider Profile Formation™
Provider Profile Formation begins the process of establishing your private Provider Workspace™ and Provider Profile™. Unless otherwise stated at checkout, ZipButler targets Workspace configuration within 3–5 business days after a valid formation purchase.
The formation fee pays for the formation process, Workspace configuration, Provider Profile infrastructure, and the selected review timing. It does not purchase admission to The Butler List, a recommendation, a lead, property access, a project, revenue, exclusivity, or any commercial result.
5. Provider Workspace™
Your Provider Workspace is a private operating environment through which you may establish and maintain company information, capabilities, service territory, professional rates, availability, response capacity, representative work, and other information; communicate with ZipButler; and, if invited to The Butler List, receive and manage Concierge requests and opportunities.
Workspace access is personal to the authorized provider account. You are responsible for maintaining the confidentiality of access credentials and for activity performed through your Workspace.
6. Review Timing
Review timing begins only after ZipButler receives a complete Provider Profile submission through the Provider Workspace. Review periods shown at purchase are target maximum business-day periods for private review after complete submission:
- Standard Review: within 10 business days.
- Priority Review: within 5 business days.
- Accelerated Review: within 3 business days.
Review speed changes; the admission standard does not. ZipButler may request clarification, corrections, licenses, insurance information, portfolio materials, references, or other information before a profile is treated as complete.
7. Admission, Recommendation, and Opportunities
Admission to The Butler List is by invitation only. ZipButler may accept, decline, defer, suspend, or discontinue a provider relationship. Admission does not guarantee that a provider will be recommended, contacted, quoted, retained, or awarded work.
When a client requirement arises, the Concierge may consider multiple providers or sources. Any recommendation may depend on geography, availability, qualifications, commercial terms, client preferences, project requirements, prior performance, and other considerations.
8. Professional Time and Compensation
ZipButler’s provider model may include Paid Consultation™, Paid to Quote™, On-Call Compensation™, and other paid professional-time arrangements. No such compensation is owed unless ZipButler expressly authorizes the applicable work, rate, scope, and compensation terms in writing or through the Provider Workspace before the provider performs the compensable activity.
An award of the underlying project is separate from compensation expressly authorized for qualifying pre-project professional time. Project work, service performance, materials, and other awarded engagements may be subject to separate terms, scopes, contracts, purchase orders, or client agreements.
9. Provider Responsibilities
You agree to provide accurate, current, and complete information and to promptly update material changes. You are responsible for maintaining all licenses, permits, insurance, registrations, professional qualifications, and legal authority required for the services you offer and the jurisdictions in which you operate.
You may not misrepresent your affiliation with ZipButler, imply guaranteed access to ZipButler clients, or market Butler List participation in a way that is false, misleading, or inconsistent with instructions we provide.
10. Independent Businesses
Providers are independent businesses and are not employees, agents, joint venturers, or partners of ZipButler solely because they create a Provider Profile, use a Provider Workspace, appear on The Butler List, receive a Concierge request, or are recommended to a client.
11. Fees, Refunds, and Payment
Fees are shown before purchase and may vary by opening, review timing, or service. Payments may be processed by third-party payment providers.
Provider Profile Formation fees are refundable only until Workspace configuration begins. Once ZipButler begins configuring the Provider Workspace, the applicable Provider Profile Formation fee becomes non-refundable because the formation service has begun. This refund rule does not affect any rights that cannot lawfully be waived.
Compensation for Paid Consultation™, Paid to Quote™, On-Call Compensation™, or other authorized provider activity is separate from Provider Profile Formation fees and is governed by the specific authorization, scope, rate, and payment terms issued for that activity.
12. Provider-Client Contracting and ZipButler Facilitation
Unless otherwise expressly agreed in writing, the provider contracts directly with the property owner, client, or client-controlled entity for awarded project or service work. ZipButler facilitates introductions, Concierge coordination, commercial communications, scoping, quoting, and related administration but is not the provider of the underlying landscape, grounds, construction, maintenance, or specialist service.
Where ZipButler authorizes compensated pre-project professional time, including Paid Consultation™, Paid to Quote™, or On-Call Compensation™, the client is ultimately responsible for that cost through the ZipButler relationship. ZipButler may collect, administer, or remit those amounts as part of the Concierge engagement. The specific authorization will govern the amount, scope, timing, and conditions of payment.
14. Intellectual Property
ZipButler, The Butler List™, Provider Opening™, Provider Profile™, Provider Workspace™, Paid Consultation™, Paid to Quote™, On-Call Compensation™, and associated names, designs, content, systems, and materials are owned by or licensed to ZipButler Concierge Inc, except for provider or third-party materials.
You grant ZipButler a non-exclusive license to use information, logos, photographs, portfolio materials, and other content you submit as reasonably necessary to create and administer your Provider Profile, operate the Provider Workspace, evaluate your participation, present your company internally or to relevant clients, and operate the Concierge relationship.
14. Confidentiality and Private Information
Provider Workspaces, Concierge requests, client information, property information, scopes, budgets, communications, and other non-public information may be confidential. You agree not to disclose or use confidential information except as necessary to evaluate or perform the relevant ZipButler opportunity or as required by law.
15. No Warranty of Commercial Results
ZipButler does not warrant any minimum number of recommendations, requests, quotes, projects, awards, revenue, or other results. Market conditions, client decisions, provider availability, category demand, and other factors are outside ZipButler’s control.
16. Suspension and Termination
ZipButler may suspend or terminate access to a Provider Workspace or Butler List participation for inaccurate information, misconduct, confidentiality concerns, safety issues, client complaints, lack of required qualifications, misuse of the ZipButler name, nonpayment, security concerns, or other conduct inconsistent with the network.
17. Limitation of Liability
To the maximum extent permitted by law, ZipButler Concierge Inc will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost opportunities, lost data, or business interruption arising from or related to the services. Any limitation that cannot legally apply will apply only to the maximum extent permitted by law.
18. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Except where applicable law requires otherwise, any dispute arising out of or relating to these Terms or ZipButler services will be brought in the state or federal courts located in Delaware, and each party consents to the personal jurisdiction and venue of those courts.
19. Changes
We may update these Terms as the ZipButler service evolves. The effective date at the top of this page identifies the current version. Material changes may also be communicated through the website, checkout, Provider Workspace, or other reasonable means.
